Elumen Terms of Service (Beta)

Welcome to Elumen. These Terms of Service (“Terms”) govern your access to and use of Elumen during its private beta phase (the “Service”).

By accessing or using the Service, you agree to these Terms.

1) Beta status; product evaluation; changes and interruptions

Elumen is an early-stage, experimental system provided for product evaluation and learning. Features may change, break, or be removed at any time.

We may suspend or discontinue the Service (in whole or in part) at any time, with or without notice.

2) Purpose and limits of the Service; not professional advice

Governance posture (not acceleration). The Service is intended to help an end user reflect on and assess communication they explicitly submit, including surfacing policy, commercial, and security risks and offering non-binding guidance to reduce those risks. The Service is not an “autopilot” writing system and is not intended to optimize persuasion, generate subject lines, or otherwise act as a general sales acceleration tool.

No professional advice. Elumen provides interpretive and coaching-oriented outputs intended to support reflection and safer drafting. Elumen does not provide legal, medical, financial, HR, or other professional advice. You are responsible for how you use the Service and any outputs.

No emotion recognition outputs. The Service does not use biometric data and does not generate outputs that claim to identify or infer an individual’s emotional state. Coaching and risk guidance are limited to observable, text-based features of the submitted content and applicable policy/risk triggers.

3) Definitions

For clarity, the following terms apply:

“End User” means the individual who uses the Service to submit content and receive outputs.

“Customer” means the organization (if any) on whose behalf the Service is used.

“Administrator” means a person designated by a Customer to manage billing, provisioning, or account administration.

“User Content” means content an End User explicitly submits to the Service (including text, attachments, or other materials submitted through the Service).

“Outputs” means the results generated by the Service in response to an Explicit Invoke.

“Explicit Invoke” means an End User intentionally submitting User Content to the Service for processing (e.g., by pasting content, uploading an attachment, or otherwise initiating analysis in-product).

“Individual Data” means any User Content, Outputs, or metadata attributable to a specific End User.

“Derived Risk Event” means a de-identified event indicating that a policy/risk trigger occurred (without revealing User Content or identifying a specific End User).

4) Eligibility and accounts

You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account. Access is invitation-only and may be revoked at any time.

No emotion recognition outputs. The Service does not use biometric data and does not generate outputs that claim to identify or infer an individual’s emotional state. Coaching and risk guidance are limited to observable, text-based features of the submitted content and applicable policy/risk triggers.

5) Your content; permissions to process; limited license

You retain ownership of User Content. You grant Elumen a limited, non-exclusive license to process User Content solely to:

provide the Service you request (including generating Outputs in response to an Explicit Invoke),

operate, maintain, secure, and debug the Service,

prevent abuse and enforce these Terms, and

improve the Service during beta (including quality improvements and product development).

Elumen does not sell User Content.

6) Explicit invoke only; no passive monitoring

The Service processes User Content only when an End User initiates an Explicit Invoke. The Service does not ingest mailboxes, calendars, chat logs, or files in the background; does not run silently; and does not continuously monitor communications.

You may not configure or use the Service in a way that attempts to simulate passive monitoring (including automations that submit content without the End User’s knowledge and intentional action).

7) Prohibited use: employee evaluation and monitoring (non-negotiable)

You may not use Elumen (including any Outputs or metadata) to evaluate, rank, score, profile, or monitor individuals in the workplace, or to make or support employment-related decisions.

Without limitation, you may not use the Service, Outputs, or metadata to:

evaluate or score employee performance or behavior;

create rankings, leaderboards, compliance scores, “tone compliance,” or similar employee assessments;

make or support decisions relating to hiring, promotion, termination, compensation, transfer, or discipline;

conduct recruiting screening or candidate evaluation;

monitor an individual’s activity, presence, responsiveness, or emotional state;

build or maintain individual behavioral profiles using the Service; or

attempt to circumvent any manager-blind or access controls.

No employee evaluation outputs. The Service is not designed to generate or provide individual performance scores, rankings, sentiment labels, “tone scores,” productivity metrics, or behavioral profiles about End Users. Outputs relate to the submitted content and the risks/policies implicated by that content, not to the End User as a person.

Material breach. Any violation of this Section is a material breach and may result in immediate suspension or termination of access.

8) Organizational use; manager-blind by default

If you use Elumen on behalf of a Customer, you represent that you have authority to bind that Customer to these Terms.

Manager-blind by default. The Service is designed so that, by default, Customer Administrators are not provided access to Individual Data (including individual User Content, individual Outputs, or individual-level metadata) by any means, including administrative interfaces, exports, logs, reports, or APIs. You agree not to attempt to circumvent these restrictions.

No per-user dashboards. Customer may not request, create, or maintain per-user dashboards, reports, or exports derived from the Service.

8A) Temporary Beta Administrative Access (“God-Mode”) — Development Only

Beta-only purpose. During the private beta, the Service may include internal administrative capabilities that allow Elumen personnel to access certain Service data (“Beta Administrative Access”) solely to operate, maintain, secure, debug, and improve the Service, including investigating suspected misuse, resolving technical incidents, ensuring reliability, and responding to support requests.

Not a customer feature. Beta Administrative Access is an internal operational capability and is not a feature provided to Customer Administrators or managers.

Scope limitation. Elumen will use Beta Administrative Access only to access the minimum data reasonably necessary to perform the applicable operational purpose. Elumen will not use Beta Administrative Access to support employee evaluation, monitoring, or workplace decision-making, and Customer may not request Elumen to do so.

Controls and accountability. Elumen will implement commercially reasonable safeguards around Beta Administrative Access, which may include role-based access controls, access logging, and internal review, consistent with the beta stage of the Service.

Customer obligations. Customer and End Users agree not to attempt to coerce, request, or direct Elumen to use Beta Administrative Access in a way that violates these Terms, including Section 7 (Prohibited Use: Employee Evaluation and Monitoring).

Future deployability posture (DACH-ready swap clause). Elumen intends to offer configurations for jurisdictions and deployments that require strict co-determination and anti-surveillance posture (including DACH) in which Elumen personnel access to Individual Data is restricted or disabled except as required by law or explicitly authorized under a deployment-specific agreement. Accordingly, Elumen may modify or replace this Section for such deployments without changing the core anti-evaluation and manager-blind commitments in these Terms.

No waiver. The existence of Beta Administrative Access does not waive or reduce the restrictions in these Terms, including the explicit-invoke design, manager-blind defaults, and the prohibition on employee evaluation/monitoring.

9) Logging and audit trails (allowed boundaries)

The Service may generate logs necessary for security, abuse prevention, reliability, and billing.

No productivity telemetry for Customer. The Service will not provide Customer with logs or reporting that reveal Individual Data or that can be used as productivity/behavior monitoring (including message volume per user, response times, activity timelines, presence, or similar).

Derived risk events only. Any risk or governance reporting (if available) is limited to Derived Risk Events and may be available only in aggregated form (e.g., team-level trends), and not attributable to an individual End User.

10) Acceptable use

You agree to use the Service lawfully and respectfully. You may not:

reverse engineer, decompile, or attempt to derive source code (except to the extent such restriction is prohibited by law);

interfere with or disrupt the Service, security, or integrity;

use the Service to violate privacy, confidentiality, or IP rights of others;

submit content you do not have rights to submit; or

build or maintain individual behavioral profiles using the Service; or

11) Data retention and deletion (beta)

Retention. During beta, Elumen may retain User Content and Outputs for a limited period as needed to operate, secure, debug, and improve the Service, unless otherwise required by law.

Minimization. Elumen’s goal is to minimize retention of User Content where practical for beta operation.

Deletion. We may provide mechanisms to delete submitted content and Outputs; availability may vary during beta. You may also request deletion by contacting support@elumen.ai, and we will make commercially reasonable efforts to comply subject to legal and operational constraints.

12) Feedback

Minimization. Elumen’s goal is to minimize retention of User Content where practical for beta operation.

13) Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Elumen disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Outputs may be inaccurate, incomplete, or inappropriate for your specific context, and you are responsible for reviewing and validating any Outputs before use.

14) Limitation of liability

To the fullest extent permitted by law, Elumen and its operators will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to your use of the Service.

To the fullest extent permitted by law, Elumen’s total liability for any claim arising out of or relating to the Service will not exceed the amounts you paid (if any) to use the Service during the three (3) months preceding the event giving rise to the claim.

15) Termination

We may suspend or terminate your access at any time for any reason, including suspected misuse or violation of these Terms. You may stop using the Service at any time.

Sections that by their nature should survive termination (including, without limitation, Sections 5, 7, 13, 14, and 16) will survive.

16) Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

17) Changes

We may update these Terms as the Service evolves. Continued use after changes means you accept the updated Terms.
